Welcome to Ra > Lighting ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website www.ra-lighting.com (the "Site"), as well as any purchases of our retrofit LED trims, canless LED downlights, cylinders, or related products ("Products"). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase our Products.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site after changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

1. Use of the Site

• You must be at least 18 years old or have the legal capacity to enter into contracts to use the Site and make purchases.
• You agree to use the Site only for lawful purposes and in compliance with all applicable laws and regulations.
• You may not use the Site in any way that could damage, disable, overburden, or impair any part of the Site or interfere with others' use.
• We grant you a limited, non-exclusive, non-transferable license to access and view the content on the Site for personal, non-commercial use. All rights not expressly granted are reserved.

2. Account Registration

• To make purchases, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during registration and to update it as necessary.
• We reserve the right to suspend or terminate your account if we suspect fraudulent, unauthorized, or illegal activity.

3. Orders and Payment

• All orders are subject to acceptance and availability. We reserve the right to cancel or refuse any order for any reason, including pricing errors or product unavailability.
• Prices are listed in USD and do not include taxes, shipping, or handling fees unless otherwise stated. You are responsible for all applicable taxes and duties.
• Payment must be made at the time of order using the methods we accept (e.g., credit card, ACH). By providing payment information, you authorize us to charge the total amount due.
• Title and risk of loss pass to you upon shipment from our facility.

4. Shipping and Delivery

• We ship Products to addresses within the United States. Shipping times are estimates and not guaranteed; delays may occur due to factors beyond our control.
• Shipping costs are calculated at checkout and are non-refundable unless we are at fault.
• You are responsible for providing accurate shipping information. We are not liable for lost or misdelivered packages due to incorrect addresses.

5. Installation Recommendations

• For any non-retrofit light fixtures, including but not limited to canless LED downlights, we strongly recommend installation by a licensed electrician to ensure safety, compliance with local electrical codes, and optimal performance. Improper installation may void warranties, result in denial of returns or refunds, and pose safety risks for which we assume no liability.

6. Returns and Refunds

• Please refer to our separate Return Policy for details on eligibility, process, and exclusions. Returns require a pre-issued Return Goods Authorization (RGA) number and document, with shipping costs at your expense.
• Refunds will not be issued for Products damaged due to improper installation (e.g., wrong voltage or dimmer) or inadequate packaging during return transit.

7. Warranty

• Our Products are covered by a 5-year limited warranty. Please refer to our separate Warranty Information for full details, including coverage, exclusions, and claim process. Claims require the original order number or purchase order (PO) number.

8. Intellectual Property

• All content on the Site, including text, images, logos, product descriptions, and designs, is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.
• You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.

9. User-Generated Content

• If you submit reviews, comments, or other content to the Site, you grant us a perpetual, royalty-free, worldwide license to use, modify, and display such content.
• You represent that your content does not infringe third-party rights and is not unlawful, defamatory, or obscene.

10. Limitation of Liability

• To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site or Products, even if advised of the possibility of such damages.
• Our total liability for any claim shall not exceed the amount you paid for the Product giving rise to the claim.

11. Indemnification

• You agree to indemnify and hold us harmless from any claims, losses, liabilities, or expenses (including attorneys' fees) arising from your breach of these Terms, misuse of the Site or Products, or violation of any law.

12. Dispute Resolution

• These Terms are governed by the laws of [your state/country], without regard to conflict of laws principles.
